Welcome to Laiya Consulting Inc.’s Web site (the “Web Site”). The information and free clinical trial design beta release web tool provided on this site are for general informational, non-commercial and support purposes only. Please read and review these Terms of Use carefully before accessing or using this Web Site. By accessing or using this Web Site, you acknowledge that you have read, understood and agreed to the Terms of Use Agreement. If you do not agree to the Terms of Use, you may not access or use the Web Site.

  1. Use of Web site. The term “Laiya” refers to Laiya Consulting, Inc., a corporation formed under the laws of Texas. The term “You or Your” refers to the individual accessing or using this Web site. Your access to and use of the information contained in the Web site is subject to this Terms of Use Agreement. Laiya reserves the right (at its sole discretion) to change or otherwise revise and/or update these Terms and Conditions at any time and without prior notice. By accessing and using this Web site, you accept, without limitation or qualification, this Terms of Use Agreement as amended from time to time.
  2. Registration. In order to access and use this Web Site and the contents and tools provided therein, you will be required to register using a valid email address and a valid company affiliation. Laiya reserves the right to contact any individual who registers to use this Web Site to obtain references as needed, which references shall be provided by the user. By agreeing to these terms you agree that Laiya has the right to publish your company as a user of Laiya’s clinical trial design web tool and you consent to Laiya using the company name and information, for marketing activities. Such marketing activities can include Laiya providing a list of users’ company names to potential investors. All uses shall be subject to the provisions of Laiya’s Privacy Policy.
  3. Clinical Trial Design Web Tool. This Web Site contains a free tool for designing clinical trials (the “Tool”). You understand and acknowledge that the web tool is a beta release of this tool and has not been tested completely. Laiya makes no warranties or representations of any kind as to the accuracy of the Tool and does not guarantee the accuracy of the Tool. Additionally, Laiya makes no warranties or representation of any kind as to the success or failure of any clinical trials in which the Tool may be used. Laiya is not responsible for the success or failure of any trials conducted using the Tool nor is it responsible for any patient outcomes. Laiya reserves the right to modify its algorithms at any time and from time to time, and those modifications may affect the efficacy of prior trials conducted using prior algorithms.
  4. Content. Laiya will use reasonable efforts to include accurate and up-to-date information on this Web Site but makes no warranties or representations of any kind as to its accuracy, currency or completeness. You agree that access to and use of this Web Site and the content thereof is at your own risk. Laiya disclaims all warranties, express or implied, including warranties of merchantability or fitness for a particular purpose. Laiya shall not be liable for any damages, including without limitation, direct, incidental, consequential, indirect or punitive damages, arising out of access to, use of, or inability to use this Web Site or the tools and contents thereof, or any errors or omissions in the content or tools thereof. This limitation includes damages to, or for any viruses that infect, your computer equipment.
  5. Indemnification. You agree to indemnify, defend and hold harmless Laiya, its officers, directors, employees, agents, suppliers and third party partners from and against all losses, expenses, damages and costs, including reasonable attorneys’ fees, resulting from any violation by you of these Terms of Use, and any claims arising out of your use of this Website or the Tool.
  6. Privacy. Laiya respects the privacy of its Web Site users. Please refer to Laiya’s Privacy Policy that explains users’ rights and responsibilities with respect to information that is disclosed on this Web Site.
  7. Third Party Web sites and Links. This Web Site may contain links or references to other Web Sites maintained by third parties over whom Laiya has no control. Such links are provided merely as a convenience. Similarly, this Web Site may be accessed from third party links over whom Laiya has no control. Laiya makes no warranties or representations of any kind as to the accuracy, currency, or completeness of any information contained in such Web Site and shall have no liability for any damages or injuries of any kind arising from such content or information. Inclusion of any third party link does not imply an endorsement or recommendation by Laiya.
  8. Non-Confidential Information. Subject to any applicable terms and conditions set forth in our Privacy Policy, any communication or other material that you send to us through the Internet or post on a Laiya Web Site by electronic mail or otherwise, such as any questions, comments, suggestions or the like, is and will be deemed to be non-confidential and Laiya shall have no obligation of any kind with respect to such information. Laiya shall be free to use any ideas, concepts, know-how or techniques contained in such communication for any purpose whatsoever, including but not limited to, developing, manufacturing and marketing products.
  9. Rights Reserved. The contents of Laiya’s Web Site may not be copied other than for noncommercial individual reference and thereafter may not be recopied, reproduced or otherwise redistributed. Except as expressly provided above, you may not otherwise copy, display, download, distribute, modify, reproduce, republish or retransmit any information, text or documents contained in this Web Site or any portion thereof in any electronic medium or in hard copy, or create any derivative work based on such images, text or documents, without the express written consent of Laiya. Laiya expressly reserves all rights to the content of the Website, including, but not limited to, all patent, trademark, service mark, common law rights, all intellectual property and all other rights in and to the Website and the Tool.
  10. Governing Laws. This Terms of Use Agreement and your use of the Web Site shall be governed by the laws of the United States of America and the State of Maryland without regard to its conflicts of laws principles. Any legal action or proceeding related to this Web Site shall be brought exclusively in a federal or state court of competent jurisdiction sitting in Maryland.
  11. Termination. Laiya may terminate your account and access to the Web Site in the event that (a) you breach or violate this Agreement and you fail to cure such breach within 10 days following written notice from Laiya and (b) you engage in any fraudulent or illegal activities in connection with your use of and/or access to the Web Site. Termination of your account includes: removal of access to all offerings within the Web Site; deletion of your password and all related information, files and content associated with or inside your account (or any part thereof); and barring of further use of the Web Site.
  12. Miscellaneous. If any provision of this Agreement is held to be unlawful, void or unenforceable, then such provision shall be severable without affecting the enforceability of all remaining provisions. Laiya reserves the right to alter or delete materials from this Web Site or modify the web tool’s algorithm at any time at its sole discretion.
  13. Arbitration. Laiya wants to address your concerns without needing a formal legal case. Before filing a claim against Laiya, you agree to try to resolve the dispute informally by contacting us via our contact information located on our Web Site. We’ll try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you and Laiya agree to resolve any claims relating to this Terms of Use Agreement through final and binding arbitration by a single arbitrator. This includes disputes arising out of or relating to interpretation or application of this “Arbitration” section, including its enforceability, revocability, or validity. The American Arbitration Association (AAA) will administer the arbitration under its Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes. The arbitration will be held in the United States in the state of Maryland or any other location we agree to. The AAA rules will govern payment of all arbitration fees.
  14. Exceptions to Agreement to Arbitrate. Either you or Laiya may assert claims, if they qualify, in small claims court in Maryland. Either party may bring a lawsuit solely for injunctive relief to stop unauthorized use of the Web Site, or any intellectual property infringement (for example, trademark, trade secret, copyright, or patent rights) without first engaging in arbitration or the informal dispute-resolution process described above. If the agreement to arbitrate is found not to apply to you or your claim, you agree to the exclusive jurisdiction of the state and federal courts in Maryland to resolve your claim.
  15. Entire Agreement. This Terms of Use Agreement constitutes the entire agreement between you and Laiya with respect to the subject matter of this Agreement, and supersedes and replaces any other prior or contemporaneous agreements, or terms and conditions applicable to the subject matter of this Agreement. This Agreement creates no third party beneficiary rights.
